PHOTOGRAPHER SERVICES AGREEMENT

This Photographer Services Agreement (“Agreement”) is entered into by and between Artwork Collective LLC, an Ohio limited liability company, located at 122 S Lynn St, Bryan, OH 43506 (“Artwork Collective,” “AC,” “we,” “us,” or “our”), and the individual or business entity accepting this Agreement (“Photographer,” “you,” or “your”).

This Agreement governs your access to and use of AC’s services related to artwork design, marketing, sales, fulfillment, and related services.

PRIVACY POLICY

Artwork Collective respects the privacy of Photographer and their Clients. Artwork Collective will not sell, rent, or share personal information with third parties for marketing purposes.

Artwork Collective and its affiliates may use and contact Photographer and their Clients using the information provided for legitimate business purposes related to the services provided, including communication about artwork design, marketing, sales, fulfillment, account administration, and service updates.


1. BUSINESS STRUCTURE & RELATIONSHIP

1.1 Independent Contractor
Photographer is an independent contractor and not an employee, partner, agent, or joint venturer of Artwork Collective. Nothing in this Agreement creates an employment relationship. Photographer is responsible for all taxes related to amounts paid to them, and AC may issue a Form 1099 in accordance with IRS guidelines.


1.2 Authority
Photographer has no authority to bind Artwork Collective to any agreement or obligation.



2. SERVICES PROVIDED

Artwork Collective provides artwork-related services, which may include but are not limited to artwork design, marketing, sales support, client communication, order processing, and fulfillment (the “Services”). The specific Services available to Photographer depend on the services selected, purchased, or subscribed to by Photographer.

Artwork Collective may modify, update, or discontinue any Service at its discretion.


3. CLIENT ONBOARDING & COMMUNICATION

3.1 Client Information Transfer

Photographer will onboard client information into AC’s systems for each client. By submitting client contact information to Artwork Collective, Photographer represents that they have the right to contact the client for related business purposes and authorizes Artwork Collective, as a service provider acting on Photographer’s behalf, to contact the client to market, design, sell, and fulfill artwork services.

Once client information is submitted,
Artwork Collective becomes the primary point of contact with the client
for purposes including, but not limited to:

  • Marketing and selling printed artwork
  • Scheduling design meetings
  • Presenting designs
  • Obtaining design approvals

3.2 Ongoing Photographer Responsibilities
After onboarding, Photographer agrees to provide required materials in a timely manner, including but not limited to:

  • Edited photographs
  • Image delivery timelines
  • Other information reasonably requested to complete Services

Failure to provide materials by communicated deadlines may delay or prevent Services.


4. IMAGE OWNERSHIP & LICENSE

4.1 Ownership
Photographer retains full copyright ownership of all images provided to AC.


4.2 Limited License
Photographer grants Artwork Collective a limited, non-exclusive, royalty-free license to use the images solely for the purpose of performing the Services selected by Photographer, including marketing and selling artwork to Photographer’s clients and fulfilling orders.


​​​​​​​4.3 Marketing Use
Artwork Collective will not use Photographer’s images for AC’s own marketing purposes without Photographer’s prior permission.



5. APPROVALS & ACCURACY

5.1 Responsibility for Accuracy
Photographer is responsible for the quality, accuracy, and completeness of all images and information provided.


5.2 Final Approval
Client or Photographer approval of designs constitutes final acceptance. Artwork Collective is not responsible for errors approved by the client or Photographer, including color, cropping, layout, spelling, or content.



6. FEES, BILLING & PAYMENTS

6.1 Authorization to Charge
By providing payment information, Photographer authorizes AC to store payment methods on file and charge them for:

  • Automatically renewing subscriptions (monthly or annual)
  • Artwork design services
  • Sample albums
  • Artwork production and fulfillment costs
  • Any other fees agreed to by Photographer

6.2 Automatic Renewal
Subscriptions renew automatically unless canceled or modified prior to the renewal date.


6.3 No Subscription Refunds
Subscription fees are non-refundable. Photographer may continue using the Services through the end of the paid subscription term.


6.4 Failed Payments & Late Fees
If a payment fails:

  • AC may retry the payment automatically
  • Services may be paused until payment is resolved
  • A $35 late fee may be applied if payment is not resolved within 7 days of the due date

6.5 Price Changes
AC may change pricing with at least 30 days’ notice.



7. PHOTOGRAPHER PAYOUTS

7.1 Profit Payouts
Photographer will be paid profits from sales facilitated by AC on Photographer’s behalf, as outlined in the applicable Service terms.


7.2 Payment Method
Payouts are issued via online bill pay. Photographer must create a free account with AC’s bill pay provider. There is no cost to receive funds.


7.3 Timing
Payouts are generally processed weekly, subject to holidays, processing delays, or unforeseen circumstances.



8. TAXES
Photographer is responsible for their own tax obligations. Artwork Collective will collect and remit sales tax for client artwork purchases where required by law.


9. TERMINATION

9.1 Termination by Photographer
Photographer may cancel subscriptions at any time. Cancellation does not entitle Photographer to refunds.


9.2 Termination by Artwork Collective
AC may discontinue working with Photographer at its discretion. Photographer will be notified in writing. Refunds are generally not provided.


9.3 Immediate Termination for Cause
AC may terminate immediately for abuse, fraud, chargebacks, misrepresentation, or violation of this Agreement.



10. INDEMNIFICATION

Photographer agrees to indemnify and hold harmless Artwork Collective from claims arising out of:
  • Photographer’s images or content
  • Copyright or privacy violations
  • Client disputes related to Photographer’s actions


11. LIMITATION OF LIABILITY

Artwork Collective’s total liability is limited to the fees paid by Photographer in the 12 months preceding the claim. AC is not liable for indirect, incidental, or consequential damages.


12. DISPUTE RESOLUTION

All disputes shall be resolved by binding arbitration, at Artwork Collective’s discretion, and may be conducted remotely. Photographer waives the right to participate in a class action.


13. GOVERNING LAW

This Agreement is governed by the laws of the State of Ohio, with venue in Bryan, Ohio where applicable.


14. CHANGES TO TERMS

​​​​​​​Artwork Collective may update this Agreement from time to time. Continued use of the Services constitutes acceptance. Material changes will be communicated by email.
